PMA COMPANY SERVICES
A PMA Company, once incorporated, will become an Indonesian business entity, independent from its shareholder company. The management of the PMA Company comprises 3 (three) organs:
(1) The shareholders (the owners of the PMA Company) who have the authority to set up the Articles of Association of the PMA Company, appointing and dismissing members of the Board of Directors (BOD) and the Board of Commissioners (BOC) of the PMA Company.
(2) The Board of Directors which manages the daily operations of the company, representing the company in performing corporate actions and dealing with third parties (including hiring and dismissing employees). The BOD can comprise of a sole BOD member or more. For tax registration purposes, at least 1 (one) BOD member must be resident (living) in Indonesia.
(3) The Board of Commissioners which supervises the performance of the BOD. The BOC can be vested with certain corporate powers by the shareholders (i.e. certain corporate actions may be required to be approved by the BOC and/or the shareholders). The BOC can comprise of a sole BOC member or more.

REP OFFICE SERVICES
A Rep Office is established as an Indonesian legal entity which is not independent from its foreign principal (i.e. the overseas company). A Rep Office can perform any legal action in Indonesia which is not income generating (i.a. hiring employees, performing business meetings and/or marketing activities). A Rep Office must be headed by a Chief of Rep Office (CRO). You may appoint an Indonesian national or a foreign national resident (living) in Indonesia as the CRO.

- As a partner shareholder: Jointly with you (or your appointed party), PT MAI can act as the co-owner of the PMA Company. Ensuring that the PMA Company’s corporate actions are performed according to your objectives and be regulatory compliant.
- As BOD member: Any of PT MAI’s founders can act as a local Director of the PMA Company and ensuring that the daily operations of the PMA Co are performed according to your objectives and directions and be regulatory compliant. Providing regular and ad-hoc reporting.
- As BOC member: Any of PT MAI’s founders can act as a member of the BOC. Supervising actions of the BOD and provide corporate approvals as directed by you.
